A legal disclaimer
The cybersecurity consulting services provided by Secured Harbor ("Consultant") are intended solely for informational and advisory purposes. All assessments, recommendations, workshops, and training materials are based on information provided by the client and industry best practices available at the time of service delivery.
Consultant does not guarantee that implementation of any recommendations, training, or security controls will prevent or eliminate all cybersecurity threats, breaches, or attacks. Cybersecurity threats are constantly evolving, and no system, network, or service can be considered completely secure.
The client acknowledges that it is solely responsible for its own cybersecurity policies, security decisions, systems implementation, compliance with applicable laws and regulations, and any actions taken based on Consultant's advice. Consultant shall not be liable for any loss, damage, or costs incurred by the client as a result of using the services, except where such liability cannot be excluded by law.
By engaging Consultant’s services, the client agrees to indemnify and hold harmless Secured Harbor, its officers, employees, agents, and subcontractors from any and all claims, losses, liabilities, or damages arising out of or in connection with the services provided.
For legal, compliance, or regulatory interpretations, clients are encouraged to seek advice from qualified legal counsel.

1. Terns and conditions
These Terms and Conditions ("Agreement") govern the provision of cybersecurity consulting services ("Services") bySecured Harbor ("Consultant," "we," "us," "our") to the client ("Client," "you," "your"). By engaging our services, you agree to be bound by these Terms and Conditions.
2. Services
We provide cybersecurity consulting services including but not limited to risk assessments, vulnerability analysis, incident response planning, cybersecurity training, and policy development. The scope of specific services will be outlined in separate written proposals or Statements of Work (SOW).
3. Client Responsibilities

Provide timely access to necessary systems, data, and personnel to perform services.

Implement agreed-upon recommendations and controls at your discretion and expense.

Maintain up-to-date backups and disaster recovery plans independently of our services.

Ensure compliance with applicable laws and regulations regarding cybersecurity and data protection.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of service delivery. Confidential information shall not be shared with third parties without written consent, except as required by law.
5. Intellectual Property
All training materials, templates, reports, and deliverables provided remain the intellectual property of Secured Harbor unless otherwise agreed upon in writing. Clients are granted a non-exclusive, non-transferable license to use materials internally for business purposes only.
6. Disclaimer and Limitation of Liability
We do not guarantee that our services will eliminate all cybersecurity threats or prevent all incidents. Cybersecurity risks cannot be entirely eliminated.
To the maximum extent permitted by law, [Your Company Name] shall not be liable for any indirect, incidental, consequential, or special damages arising from the provision of services, including but not limited to data loss, business interruption, or reputational harm.
7. Fees and Payment
All fees for services will be outlined in the applicable proposal or agreement. Payment terms are net 30 days from invoice date unless otherwise agreed. Late payments may incur interest charges as permitted by law.
8. Termination
Either party may terminate services upon written notice if the other party breaches a material term of this Agreement and fails to cure such breach within 30 days after written notice.
Upon termination, all fees incurred up to the termination date are immediately payable.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, USA.
10. Amendments
We reserve the right to update these Terms and Conditions at any time. Clients will be notified of any significant changes. Continued use of our services after notification constitutes acceptance of the updated terms.
11. Entire Agreement
This Agreement constitutes the entire agreement between Secured Harbor and the Client concerning the subject matter hereof and supersedes all prior agreements, understandings, and representations.
